Delivery Terms

Website & Digital Marketing Services - DigitalNordic ApS

1. General

The following terms apply to all products, services, and solutions (the “Solution”) delivered by DigitalNordic ApS (“DigitalNordic”), unless otherwise agreed in writing between DigitalNordic and the customer (“the Customer”) in the contract (“the Agreement”).
Solutions are always stated on an annual basis, even if monthly payment has been chosen.

2. Communication

The Customer accepts that communication takes place via email and telephone during DigitalNordic’s business hours. During holidays, only urgent and minor tasks can be carried out.

3. Responsibility

  • The Customer is responsible for providing DigitalNordic with necessary codes, access, and information required to deliver the Solution, as well as delivering requested material on time.
  • The Customer is responsible for ensuring that all content/materials for the Solution comply with applicable law and do not infringe third-party trademarks or rights.
  • The Customer is responsible for accuracy of information, including ensuring correct contact details appear on the website and online profiles. If a contact form is used, the Customer must ensure that it functions correctly and immediately notify DigitalNordic if it does not.
  • Reported errors or defects in a DigitalNordic-developed system will be addressed as quickly as possible. Error correction is free unless caused by factors beyond DigitalNordic’s control, in which case time will be invoiced.
  • DigitalNordic cannot be held liable for external systems, third-party hosting providers, hacking, viruses, downtime, or social media issues.
  • DigitalNordic disclaims liability for data loss, lost revenue, goodwill, indirect losses, or consequential damages. No guarantee is given for specific Google rankings or SEO outcomes, as algorithms and systems are outside our control.
  • In case of virus attacks on websites hosted by DigitalNordic, our specialists will work to resolve the issue as quickly as possible. Any additional external costs are invoiced to the Customer.
  • The Customer is responsible for termination of previous providers and for reporting any competition-related matters to tax authorities.

4. Payment

Unless otherwise agreed in writing, invoices are issued upon agreement with 8-day payment terms.
Failure to pay may be considered a breach of the Agreement and may be transferred to third-party collection.
DigitalNordic reserves the right to request prepayment in case of negative equity or risk, and to adjust annual prices according to inflation and market indexes.

5. Breach Of Contract

If the Customer fails to meet obligations under the Agreement, DigitalNordic may, with immediate effect, suspend services or terminate the Agreement until the issue is resolved.

6. Subscription

Subscriptions begin upon the issue of the first invoice. The Customer can choose subscription terms of 12, 36, or 60 months.
Subscriptions automatically renew for 12 months unless terminated as per Section 7.

7. Termination

Depending on the chosen subscription, the Agreement is binding for 12, 36, or 60 months.
Termination must be sent by email to info@digitalnordic.dk at least 3 months before the end of the subscription period.
Early termination results in invoicing of the remaining subscription period. Prepaid amounts are non-refundable.

8. Marketing

DigitalNordic may use the Solution for marketing purposes free of charge. Solutions are delivered with DigitalNordic branding.

9. Subcontractors

Delivery may include subcontractors. DigitalNordic is not liable for errors caused by subcontractors but will transfer valid claims directly to them.

10. Transfer Of Business

DigitalNordic reserves the right to transfer its business and services to third parties.

11. Rights

With an active Agreement, DigitalNordic retains ownership of the Solution’s technology/system.
The Customer receives user rights only. Third-party graphics (e.g. Shutterstock) may be used under license.
For websites purchased after May 2024, full ownership may be transferred to the Customer after the support agreement ends, at which point DigitalNordic’s responsibility ceases. All costs for transfer, hosting, and licenses are borne by the Customer.

12. Technical Conditions

  • Customers have editor access to the CMS to edit text, images, products, and create new subpages.
  • Fair use of support includes up to 5 hours annually for text/image edits unless otherwise agreed.
  • Access to control panel, FTP, and databases is restricted for security reasons.
  • SEO, Google Ads, and Facebook Ads accounts are managed under DigitalNordic’s control panels.
  • Regular reports and insights are provided to the Customer.
  • DigitalNordic uses leading Danish hosting providers (e.g. Simply.com).

Availability of DigitalNordic’s systems and apps cannot be guaranteed in case of external failures or third-party changes.

13. Governing Law & Jurisdiction

Any dispute between the parties shall be resolved under Danish law before the City Court of Copenhagen.
